The Website, App, and related online services are collectively referred to as the “Services.”
By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.
These Terms govern use of MindVita’s digital Services. They do not replace any separate treatment agreements, informed consents, practice policies, financial policies, telehealth consents, or other agreements governing your clinical relationship with MindVita.
1. About MindVita
MindVita Wellness LLC is a behavioral and mental health care practice.
The Website provides information regarding MindVita, its providers, services, and related educational resources. The App provides eligible MindVita patients with convenient access to certain functions associated with MindVita’s patient portal.
The availability and functionality of the Services may change over time.
2. MindVita App and Patient Portal
The MindVita App connects with MindVita’s existing patient portal and may allow eligible patients to:
- Access their patient portal account;
- View appointment information;
- Schedule or reschedule appointments;
- Send and receive secure messages;
- Submit prescription refill requests through messaging;
- Receive notifications concerning appointments, messages, or account activity; and
- Access other patient portal functions that MindVita may make available.
Certain features may be added, modified, suspended, or removed as the Services evolve.
Use of the App does not alter the terms of your clinical relationship with MindVita or guarantee the availability of any particular service or feature.
3. Not for Emergencies or Crisis Care
The Website, App, patient portal, and electronic messaging functions are not emergency or crisis services and should not be used for urgent medical or psychiatric situations.
Messages submitted through the App, Website, or patient portal may not be reviewed immediately and may not be monitored outside of MindVita’s normal business operations.
If you believe you are experiencing a medical or psychiatric emergency, call 911 or go to the nearest emergency department.
If you are experiencing a mental health crisis or suicidal thoughts, call or text 988, contact emergency services, or seek care at the nearest emergency department.
Do not rely on a message submitted through the Services to obtain emergency or time-sensitive assistance.
4. Electronic Messaging
The App and patient portal may allow patients to communicate electronically with MindVita providers and staff.
Messaging is intended for appropriate, non-emergency communications regarding care, appointments, medications, and administrative matters.
Sending a message does not guarantee an immediate response. Response times may vary based on office hours, provider availability, weekends, holidays, the nature of the request, and other circumstances.
MindVita may determine that a concern cannot appropriately or safely be addressed through electronic messaging. In such circumstances, you may be asked to schedule an appointment, contact another healthcare provider, seek an appropriate higher level of care, or obtain emergency services.
If your symptoms worsen while awaiting a response, you are responsible for seeking appropriate and timely care rather than waiting for a response through the Services.
5. Prescription Refill Requests
Patients may submit prescription refill requests through secure messaging when that functionality is available.
Submitting a refill request does not guarantee that a prescription will be issued, renewed, changed, or approved.
Medication decisions remain within the professional judgment of the treating provider and may depend on factors including:
- Appropriate attendance and clinical follow-up;
- The patient’s current clinical status;
- Required medication or laboratory monitoring;
- Federal and state prescribing requirements;
- Pharmacy and insurance requirements; and
- Whether continued prescribing is clinically appropriate.
A provider may require an appointment, assessment, monitoring, or other clinical information before issuing or renewing a prescription.
The App and patient portal should not be used to obtain medication for an emergency or urgent psychiatric situation.
6. No Provider-Patient Relationship Created by Website Use
Viewing the Website, reading educational content, submitting a general inquiry, downloading the App, or otherwise accessing publicly available MindVita content does not by itself establish a provider-patient relationship.
A clinical relationship with MindVita is established only through MindVita’s applicable intake, consent, scheduling, and treatment processes.
Nothing contained on the public Website should be interpreted as individualized medical advice or as a representation that MindVita has agreed to provide treatment to a particular individual.
7. General Health Information
Information made available through the public Website, including articles, educational materials, frequently asked questions, or other general resources, is provided for informational and educational purposes only.
Such information is not a substitute for individualized evaluation, diagnosis, treatment, or advice from a qualified healthcare professional.
You should not disregard professional medical advice or delay seeking appropriate care solely because of information available through the Website.
Communications provided by a MindVita clinician within an established treatment relationship through authorized clinical channels are distinct from general Website content.
8. Patient Accounts and Account Security
Certain features require an active MindVita patient portal account.
You agree to provide accurate information and take reasonable measures to protect your account, device, passwords, authentication credentials, and other means of accessing the Services.
You may not:
- Share account credentials with an unauthorized person;
- Access another patient’s account without legal authorization;
- Impersonate another individual;
- Attempt to circumvent authentication or security measures;
- Attempt to obtain unauthorized access to MindVita systems, accounts, or information; or
- Use another individual’s credentials without authorization.
If you believe your account, credentials, or device has been lost, stolen, compromised, or accessed without authorization, you should notify MindVita promptly.
9. App Security and Device Authentication
MindVita may implement security measures designed to reduce unauthorized access to patient information, including:
- Secure account authentication;
- Automatic locking following periods of inactivity or after the App has remained in the background;
- Biometric or device-based authentication where supported;
- Periodic reauthentication; and
- Other technical safeguards.
When biometric authentication such as Face ID or Touch ID is used, authentication is performed through the user’s device. MindVita does not receive or store the underlying biometric information used by the device to authenticate the user.
Users remain responsible for maintaining reasonable security controls on devices used to access the App.
10. Push Notifications
Patients may elect to receive push notifications from the MindVita App.
MindVita seeks to limit push notification content so that detailed clinical information is not displayed in notification previews. Notifications may, for example, indicate that a new message or appointment-related update is available without displaying detailed health information.
Depending on a user’s device and notification settings, notifications may be visible to other individuals with access to the device.
Users are responsible for configuring their device’s notification and privacy settings appropriately and may disable notifications through their device settings.
11. Minors, Parents, Guardians, and Authorized Representatives
Access to patient accounts by minors, parents, guardians, and other authorized representatives is governed by applicable federal and state law and MindVita’s policies.
Depending on the patient’s age, the nature of the services received, consent requirements, and applicable law, a minor may have independent rights concerning certain healthcare services and related health information.
In other circumstances, a parent, legal guardian, or other legally authorized representative may be permitted to access or manage an account on behalf of a minor.
MindVita may restrict, modify, separate, or terminate proxy access when necessary to comply with applicable law, protect confidential information, or protect the patient.
No individual may access another patient’s account unless legally authorized to do so.
12. Privacy and Protected Health Information
Use of the Services is also subject to MindVita’s Privacy Policy.
MindVita handles Protected Health Information (“PHI”) in accordance with applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act (“HIPAA”), when applicable, and MindVita’s Notice of Privacy Practices.
The Privacy Policy describes privacy practices associated with the Website and App. MindVita’s Notice of Privacy Practices separately describes how MindVita may use and disclose PHI and explains patients’ rights concerning their health information.
If there is a conflict concerning the use or disclosure of PHI, applicable law and MindVita’s Notice of Privacy Practices will control.
13. Third-Party Technology and Services
MindVita may use third-party technology providers to operate or support portions of the Website, App, patient portal, communications systems, hosting environment, authentication systems, and related Services.
The MindVita App connects with MindVita’s existing patient portal infrastructure.
Certain links or features may direct users to independent third-party websites or services. Those independent services may be governed by their own terms and privacy policies.
Nothing in this section limits MindVita’s responsibilities under applicable privacy laws concerning third parties that handle PHI or other protected information on MindVita’s behalf.
14. Payments and Additional Features
Certain features, including payment or additional patient portal functionality, may be made available through the Services in the future.
Such features may be provided through MindVita’s patient portal or authorized third-party service providers and may be subject to additional terms or disclosures.
MindVita may modify the functionality of the Services without requiring an amendment to these Terms unless applicable law or the nature of the change requires otherwise.
15. Acceptable Use
You agree to use the Services only for lawful purposes.
You may not use the Services to:
- Violate applicable law;
- Impersonate another person;
- Access information you are not authorized to access;
- Interfere with the operation, integrity, or security of the Services;
- Introduce viruses, malicious code, or other harmful technology;
- Circumvent or attempt to defeat security measures;
- Attempt unauthorized access to MindVita systems or data;
- Harass, threaten, or abuse individuals through the Services;
- Use automated means to access the Services in a manner that materially interferes with their operation; or
- Engage in fraudulent, unlawful, or unauthorized activity.
MindVita may restrict or terminate access to digital Services when reasonably necessary to protect patients, personnel, systems, or information or in response to a material violation of these Terms, subject to applicable law and MindVita’s professional obligations to patients.
16. Availability and Changes to the Services
MindVita strives to maintain reliable access to its digital Services but does not guarantee that the Website, App, patient portal, or any particular feature will always be available, uninterrupted, or error-free.
Access may periodically be limited because of maintenance, software updates, security measures, technical problems, third-party service interruptions, or circumstances outside MindVita’s reasonable control.
You should not rely exclusively on the App or patient portal for time-sensitive healthcare needs.
MindVita may add, modify, suspend, or discontinue digital features as reasonably necessary.
17. Intellectual Property
Unless otherwise indicated, MindVita’s Website and App, including MindVita’s name, branding, logos, original text, graphics, educational materials, design elements, and other proprietary content, are owned by or licensed to MindVita Wellness LLC and are protected by applicable intellectual property laws.
The Services are provided for personal, lawful use.
You may not reproduce, distribute, modify, commercially exploit, or create derivative works from MindVita’s proprietary content without authorization, except as otherwise permitted by law.

The Website or App may contain links to websites, resources, or services operated by third parties.
MindVita does not control independent third-party websites and is not responsible for their content, availability, privacy practices, or security.
The inclusion of a third-party link does not necessarily constitute MindVita’s endorsement of that third party or its content.
19. Disclaimer Regarding Digital Services
To the extent permitted by applicable law, the Website, App, and associated technology are provided on an “as available” basis.
Although MindVita takes reasonable measures to maintain the Services, MindVita does not guarantee that digital Services will always be uninterrupted, error-free, secure from every possible threat, or compatible with every device, browser, or operating system.
Nothing in these Terms limits or disclaims MindVita’s professional obligations to its patients or any obligation, right, or remedy that cannot legally be limited or waived.
20. Limitation of Liability
To the extent permitted by applicable law, MindVita is not responsible for indirect, incidental, special, or consequential damages arising solely from the use of, inability to access, or technical operation of the Website or App.
This provision does not limit liability that cannot lawfully be limited and is not intended to waive or reduce MindVita’s obligations under applicable healthcare, professional, privacy, consumer protection, or other laws.
21. Changes to These Terms
MindVita may update these Terms periodically to reflect changes in the Services, technology, business practices, or applicable law.
When these Terms are updated, the “Last Updated” date will be revised.
If a change is material, MindVita may provide additional notice or require users to acknowledge updated Terms when appropriate or required by law.
22. Governing Law and Applicable Healthcare Laws
These Terms and your use of the Website and App are governed by applicable federal law and, with respect to the interpretation and enforcement of these Terms, the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
MindVita provides healthcare services to eligible patients located in Virginia, Maryland, and the District of Columbia. The provision of healthcare services, including telehealth services, remains subject to the professional, licensing, prescribing, privacy, patient-rights, and other healthcare laws and regulations applicable in the jurisdiction where the patient is located at the time services are provided.
Nothing in these Terms is intended to limit any rights or protections available to a patient under applicable federal, Virginia, Maryland, or District of Columbia law, or any other law that cannot legally be waived or limited by these Terms.
